Artificial Advantage

Subscription Agreement

Effective date: September 29, 2026

This agreement is between Artificial Advantage LLC (“we”, “us”) and the organization that uses Artificial Advantage Cloud (the “Service”) (“you”). If an Order Form names you, you are the organization on it, and this agreement is in force from the day the Order Form is signed; a signed proposal that names this agreement is an Order Form. Otherwise you are the organization the signed-in person acts for, and using the Service accepts this agreement. Where an Order Form and this agreement differ, the Order Form wins. Our Privacy Policy is part of this agreement.

1. What the Service is

The Service gives you a concierge you talk to and named AI workers that carry out the tasks you describe. Workers act on remote computers, in websites and applications you direct them to, using logins you save. You watch their screens, answer their questions, and decide on the actions your permission settings hold for you. You can give the Service your own standard operating procedures, skills and templates, connect a mailbox, set triggers that start tasks from incoming mail, and schedule tasks to start later.

The workers are software. They are named and shown with faces so you always know which one did what. They are not people and hold no licenses, certifications or authority of any kind.

2. Your account, users and admins

We create accounts and users at your request; there is no self sign-up. Your account belongs to your organization. It has admins and members, and your admins decide who they are and what role they have. Admins see and may act on everything on the account, including every user’s conversations, tasks, approvals and files, and they set the account’s permission settings, saved logins and workers. Members see their own work. A mailbox a user connects is used only for that user’s work, and a login saved as only theirs is used only for their work; admins may disconnect or delete either.

You are responsible for your users, for everything done through your account, and for removing people who leave. Your users’ work on the account is visible to your admins, and to us as the Privacy Policy describes. What a person made stays on the account under their name. Keep sign-in details confidential and tell us at once if you suspect misuse.

3. Third-party sites and accounts

Workers sign in to third-party sites with logins you save and act there on your behalf. You are responsible for the accounts you save and for having the right to use them this way, for your use of each site through the Service, including that site’s terms, which may restrict automated access, and for having the right to use the data you have workers enter, read, move or upload.

Sites can change, block or refuse automated activity at any time. We are not responsible for a site’s decisions about your account.

4. Credentials and two-factor codes

By saving a login you authorize us to store it, encrypted, and to let workers sign in with it. By adding an authenticator secret you authorize us to generate two-factor codes with it when a site asks. Remove a login at any time to withdraw this authorization. Keep your own copy of any authenticator secret; we cannot recover it for you.

5. Your decisions, and what runs without you

The Service sorts each action a worker proposes under your permission settings. An action your settings allow runs without asking. An action your settings hold is shown to you and does not run unless you approve it; if you refuse it, it does not run. An action your settings refuse does not run.

The sorting is automatic, and it can be wrong: an action can run that your settings would have held, or be held that would have run. Your settings reduce risk; they do not remove it. You are responsible for your settings and for every decision you make, including allowing every action of a kind on a site for the rest of a piece of work.

A task you schedule starts at the time you set, with nobody watching, under the settings in force when it runs; what your settings hold waits for you. A trigger starts a task whenever new mail matches it.

The Service is a tool under your direction. Workers act on your instructions and approvals, and you remain responsible for what is done on your behalf, including anything the law requires a licensed or authorized person to decide, review or approve, such as an insurance application or a regulatory filing. The Service does not decide what your license or your regulator requires.

6. AI limitations

Workers read screens and documents and act on their understanding of them. They can misread, mis-enter or misunderstand. Review what was done before relying on it, especially before anything is submitted, sent, paid or deleted. The Service does not give legal, insurance, financial, tax or other professional advice.

7. Acceptable use

Do not use the Service to break the law or another person’s rights; to access accounts or data you are not entitled to; to send communications that break the law, anti-spam law included, or to send marketing from an email address of ours; to attempt to defeat the security, rate limits or access controls of any site; or to interfere with the Service or other customers. Health information beyond what appears in insurance applications and claims records, or anything that would make us a business associate under HIPAA, needs our written agreement first. We may suspend or stop work that appears to breach these rules.

8. Your data and ours

Your data is what the Privacy Policy describes as collected. You keep ownership of what you and your users give the Service and of what workers produce for you, including the standard operating procedures, skills and templates you add. You grant us the rights needed to run the Service for you: to store, process, display and transmit your data to the providers the Privacy Policy describes. The standard operating procedures, skills and templates we provide, and the Service’s software, are ours, licensed to you for use within the Service during the term. We do not train or fine-tune AI models on your data. Suggestions you give us about the Service we may use freely.

9. Fees and term

The plan, the fees and the billing are as your Order Form says; without one, as agreed with us in writing. An Order Form may include a pilot with its own fee and dates, and this agreement applies during the pilot. We invoice monthly, and invoices are due as they state. Fees exclude sales and similar taxes, which you pay where they apply. Fees are non-refundable except as required by law or as an Order Form states. If an invoice goes unpaid, we may suspend the Service after notice.

The subscription runs month to month. Either of us may end it with thirty days’ written notice. We may change fees for a coming month with thirty days’ notice, unless your Order Form fixes the price for a period.

10. Availability and changes

We work to keep the Service available but do not promise uninterrupted service. Work pauses when a provider we depend on is unavailable, and resumes when the provider is back. We may change or withdraw features, with reasonable notice where the change is material.

We may change this agreement. The current version is the one published at www.artificialadvantage.com/terms; we tell you by email about material changes at least thirty days before they take effect, and continued use after that accepts them.

11. Suspension and ending

You may end your subscription at any time as section 9 says. We may suspend or end it for breach of this agreement, for non-payment, where the law requires, or where continuing would create risk for us, other customers or third parties. When the subscription ends, your data is kept as the Privacy Policy describes. Sections that by their nature should survive, including fees owed, disclaimers, limitations of liability, indemnities and confidentiality, survive.

12. Confidentiality

Each of us will protect the other’s confidential information with reasonable care and use it only for this agreement. We treat your data and the details of your tasks as confidential.

13. Data protection and security

This section is our commitment to you as your service provider, and serves as our data processing agreement.

  1. Purposes. We use your data only to provide, operate, secure, support and improve the Service, and as you direct within it. We do not sell it, share it for anyone else’s purposes, or train or fine-tune AI models on it. Information that no longer identifies you or your clients may be kept and used.
  2. Confidentiality. Everyone with access to your data is bound by confidentiality and has signed our personnel security policy.
  3. Safeguards. We maintain reasonable administrative, technical and physical safeguards appropriate to the sensitivity of the data, including the commitments in our Information Security Policy, and keep them current.
  4. Providers. We use the categories of service providers the Privacy Policy describes, each under terms that keep your data confidential and limit its use to providing its service to us, and none of them trains AI models on your data. The current providers are listed in our document “Security, AI and your data”, which we keep current.
  5. Breach notice. If we confirm a breach of security affecting your data, we tell you without undue delay, and in any case within 72 hours of confirming it, with what we know, and we cooperate with your own notification duties.
  6. Deletion and a copy. We delete what you gave the Service and what workers produced for you, or any part of it, within thirty days of your written request, and give you a copy of it on request. We keep what law requires us to keep, what a live dispute needs, and our own records of the account; backups expire on their own schedule; de-identified information may be kept.
  7. Your side. You have the right to give us the data you give us.
  8. Insurance. We maintain technology errors-and-omissions insurance with privacy liability coverage during the term, and give you a certificate on request.
  9. The rules it is written to. This section is written to the service-provider requirements of the Gramm-Leach-Bliley Act’s Safeguards Rule, the NAIC Insurance Data Security Model Law as adopted by the states, and the California Consumer Privacy Act, under which we act as your service provider.

14. Disclaimer of warranties

The Service is provided “as is”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy of results, and non-infringement. We do not warrant that workers will complete any task, or complete it correctly, or that third-party sites will permit their use.

15. Limitation of liability

To the fullest extent the law allows, neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business, arising out of this agreement or the Service, and each side’s total liability for all claims in any twelve-month period is limited to the fees you paid us in that period. These limits do not apply to liability that cannot be limited by law, to your payment obligations, or to your indemnity under section 16.

16. Indemnity

You will defend and indemnify us against claims, losses and costs arising from your data, your use of third-party sites through the Service, your breach of this agreement, your violation of law or of another person’s rights, or the acts of your users.

17. General

This agreement, with the Order Form and the Privacy Policy, is the whole agreement about the Service and replaces earlier ones. If a part is unenforceable, the rest stands. Neither of us may assign this agreement without the other’s consent, except that we may assign it in a merger, acquisition or sale of assets. We are independent contractors. Neither of us is liable for delay or failure caused by events beyond reasonable control. Notices to us go to hello@artificialadvantage.com; notices to you go to your account email and to the address on your Order Form. This agreement is governed by the law of California, and the state and federal courts in San Francisco, California have exclusive jurisdiction over disputes about it.
